Spikex User Agreement
I. Introduction
Spikex Technology Holdings Limited (hereinafter referred to as "Spikex" or "we") is the operator and service provider of this platform. This User Agreement (hereinafter referred to as "this Agreement") constitutes a legally binding contract between you (hereinafter referred to as "the User" or "you") and Spikex, governing your access to the platform and use of the services.
Before accessing the platform or using the services, please carefully read and fully understand the contents of this Agreement, including but not limited to the risk disclosure clauses. You are not authorized to access or use this platform unless you have read, understood, and agreed to accept all terms of this Agreement.
We may modify this Agreement from time to time without separate notice. The modified Agreement will be published on the platform and take effect immediately. Your continued use of the platform will be deemed as acceptance of the updated terms.
II. Risk Disclosure
Digital asset trading involves high risk, with prices subject to significant volatility. Trading or holding digital assets may result in partial or total loss of funds. Such transactions are not suitable for all investors. You should carefully consider your financial situation and risk tolerance before deciding to participate.
Certain countries or regions lack established regulatory frameworks for digital asset trading. Any legal changes, policy adjustments, or regulatory measures may impact your trading activities. Spikex assumes no responsibility for the legality, validity, value, or price of digital assets.
All risks associated with using this service are borne solely by you. We do not provide financial, investment, tax, or legal advice, nor do we assume liability for any losses resulting from reliance on platform information.
III. Definitions
Unless otherwise stated in this Agreement, the following terms shall have the meanings set forth below:
3.1 Platform
“Platform” refers to the official website, mobile application, H5 pages, API interfaces, backend systems, trading systems, customer support systems, and other related service channels operated or provided by SpikeX.
3.2 Services
“Services” refer to all products and functions provided by SpikeX to users, including but not limited to account registration, identity verification, digital asset deposits and withdrawals, spot trading, futures trading, AI Copy Trading, Futures Signals, fiat-to-crypto purchase, crypto-to-fiat conversion, asset management, market data display, notifications, customer support, and other functions that may be launched by the Platform from time to time.
3.3 User
“User” refers to any individual or entity that registers for, accesses, uses, or otherwise participates in the services of the SpikeX Platform.
3.4 Account
“Account” refers to the account registered by a user on the SpikeX Platform for accessing services, managing assets, conducting transactions, viewing records, and using related functions.
3.5 Digital Assets
“Digital Assets” refer to digital-form assets issued, circulated, or recorded based on blockchain, distributed ledger, or other cryptographic technologies, including but not limited to BTC, ETH, USDT, USDC, and other crypto assets supported by the Platform.
3.6 Fiat Currency
“Fiat Currency” refers to legal tender recognized and issued by a country or region, including but not limited to BRL, USD, AED, SAR, and other fiat currencies supported by the Platform.
3.7 Spot Trading
“Spot Trading” refers to the act of buying or selling digital assets on the Platform at the current market price or the price displayed by the Platform.
3.8 Futures Trading
“Futures Trading” refers to derivatives trading or contract-based trading conducted by users on the Platform based on price movements of digital assets, stock-related underlying assets, commodities, or other underlying assets. Futures Trading may involve leverage and carries high risks, which may result in partial or total loss of funds.
3.9 Tokenized U.S. Stock Contracts
“Tokenized U.S. Stock Contracts” refer to contract trading products that reference the price performance of U.S. stock-related underlying assets. Such products do not represent ownership of the corresponding stocks, shareholder rights, voting rights, dividend rights, or any other rights of securities holders.
3.10 AI Copy Trading
“AI Copy Trading” refers to services provided by the Platform based on artificial intelligence models, strategy signals, market data, or system rules, including strategy following, automated execution, or trading assistance. AI Copy Trading does not constitute a guarantee of returns, and historical performance, estimated returns, or strategy results do not represent future returns.
3.11 Futures Signals
“Futures Signals” refer to trading reference information generated by the Platform based on market data, technical indicators, AI models, or other analytical methods. Futures Signals are for reference only and do not constitute investment advice, trading instructions, or profit guarantees.
3.12 Deposit
“Deposit” refers to the act of transferring digital assets or fiat currency supported by the Platform into a user’s SpikeX Account. Deposit arrival time may be affected by blockchain networks, payment institutions, banks, third-party service providers, risk control reviews, or other factors.
3.13 Withdrawal
“Withdrawal” refers to the act of transferring available assets from a user’s Account to an external wallet, bank account, Pix receiving information, or other receiving methods supported by the Platform in accordance with Platform rules.
3.14 Pix
“Pix” refers to the instant payment system launched by the Central Bank of Brazil. For Brazilian users, the Platform may support BRL-related deposits, withdrawals, or other payment operations through Pix, subject to the information displayed on the Platform and applicable rules.
3.15 CPF / CNPJ
“CPF” refers to the Brazilian individual taxpayer registration number. “CNPJ” refers to the Brazilian corporate taxpayer registration number. The Platform may require Brazilian users to provide CPF or CNPJ for identity verification, deposits, withdrawals, receiving information binding, or compliance review.
3.16 KYC
“KYC” refers to the identity verification process, including user identity information, identity documents, facial recognition, proof of address, source of funds declaration, or other information required by the Platform for compliance and risk control purposes.
3.17 Available Balance
“Available Balance” refers to the asset balance in a user’s Account that may be used for trading, withdrawal, conversion, or other operations, excluding frozen assets, unsettled returns, funds under review, margin occupation, trial funds, or other restricted assets.
3.18 Frozen Assets
“Frozen Assets” refer to assets that are temporarily unavailable for free use or transfer by users due to order occupation, futures margin, risk control, withdrawal review, dispute handling, system maintenance, judicial or regulatory requirements, or other reasons.
3.19 Trial Funds / Trial Vouchers
“Trial Funds” or “Trial Vouchers” refer to trial credits, test credits, or reward benefits provided by the Platform to eligible users according to campaign rules. The use, profit withdrawal, validity period, restrictions, and recovery rules of Trial Funds or Trial Vouchers shall be subject to the Platform’s campaign rules.
3.20 Fees
“Fees” refer to service fees, trading fees, withdrawal fees, network fees, conversion fees, funding rates, spreads, service charges, or other related fees that may be incurred by users when using Platform services. Specific fees shall be subject to the Platform page display or relevant rules.
3.21 Third-Party Service Providers
“Third-Party Service Providers” refer to external institutions or individuals that provide payment, clearing, identity verification, market data, cloud services, communications, risk control, custody, liquidity, technical support, or other services to the Platform.
3.22 Risk Control
“Risk Control” refers to reviews, restrictions, freezing, delayed processing, service suspension, transaction rejection, or other management measures adopted by the Platform to prevent fraud, money laundering, abnormal trading, account theft, rule-violating arbitrage, system attacks, market risks, payment risks, or other risks.
3.23 Applicable Laws
“Applicable Laws” refer to any applicable laws, regulations, regulatory rules, industry standards, judicial orders, administrative requirements, sanctions rules, or other legally binding rules related to users’ access to or use of Platform services.
3.24 This Agreement
“This Agreement” refers to this SpikeX User Agreement and its attachments, supplementary terms, risk disclosures, privacy policy, campaign rules, fee descriptions, product rules, and other rules published by the Platform from time to time that form part of this Agreement.
IV. Eligibility for Use
You must meet the following conditions to register and use the services:
Be at least 18 years of age;
Possess the legal capacity to sign and perform this Agreement;
Not have your eligibility suspended or revoked by the platform;
Not be a "Restricted Person" or located in a "Prohibited Country/Region" (as defined in Article IX);
Not violate applicable laws;
Ensure your registration information is true, complete, and valid.
V. Account
5.1 Account Registration
To use certain Services provided by SpikeX, you may be required to register an Account on the Platform and provide accurate, complete, and up-to-date information as requested by SpikeX.
You agree that all information submitted during registration, identity verification, account maintenance, deposits, withdrawals, and use of the Services must be true, accurate, complete, and not misleading.
SpikeX reserves the right to refuse registration, suspend access, restrict functions, or terminate an Account if the information provided is false, incomplete, outdated, suspicious, or otherwise inconsistent with Platform requirements.
5.2 Account Eligibility
By registering for and using a SpikeX Account, you represent and warrant that:
You are at least 18 years old or have reached the legal age required under the laws of your jurisdiction;
You have full legal capacity and authority to enter into and perform this Agreement;
You are not prohibited, restricted, or otherwise disqualified from using the Services under any applicable laws, regulations, sanctions rules, or Platform policies;
You are not located in, incorporated in, or ordinarily resident in any prohibited or restricted jurisdiction as determined by SpikeX from time to time;
Your use of the Platform is for lawful purposes only.
5.3 Account Security
You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your login password, verification codes, two-factor authentication, device access, API keys, and any other security information.
You must not disclose your Account credentials to any third party, allow any third party to access or operate your Account, or use another person’s Account without authorization.
Any activity conducted through your Account will be deemed to have been conducted by you, unless SpikeX determines otherwise based on its risk control review.
If you suspect unauthorized access, account theft, loss of credentials, abnormal activity, or any other security issue, you must immediately notify SpikeX through official support channels.
5.4 Identity Verification and KYC
SpikeX may require you to complete identity verification, KYC, enhanced due diligence, address verification, source of funds verification, or other compliance checks before or during your use of the Services.
You agree to provide all information and documents reasonably requested by SpikeX, including but not limited to identity documents, facial verification, contact information, tax identification numbers, proof of address, source of funds information, and other materials required for compliance and risk control purposes.
SpikeX may refuse, suspend, restrict, or terminate Services if you fail to complete verification, provide inaccurate information, submit suspicious documents, or fail to meet the Platform’s compliance requirements.
5.5 Account Maintenance
You are responsible for keeping your Account information accurate and up to date, including your email address, phone number, identity information, payment information, withdrawal information, tax information, and any other information required by the Platform.
SpikeX may request updates or additional information at any time. Failure to provide such information may result in delayed transactions, withdrawal restrictions, account limitations, or suspension of Services.
5.6 Account Use
You agree to use your Account only for your own lawful purposes and in accordance with this Agreement, Platform rules, product rules, risk disclosures, and applicable laws.
You must not use your Account to engage in fraud, money laundering, terrorist financing, market manipulation, abusive trading, unauthorized access, system attacks, account selling, account renting, false registration, promotional abuse, or any other illegal or prohibited activity.
SpikeX reserves the right to monitor Account activities and take necessary actions, including but not limited to freezing assets, restricting withdrawals, suspending trading functions, rejecting transactions, requiring additional verification, or terminating the Account.
5.7 Trading Records and Account Records
SpikeX may maintain records of your Account activities, including registration information, login history, identity verification records, deposit and withdrawal records, trading records, order records, asset records, communication records, risk control records, and other Platform-related data.
Unless there is clear evidence of system error, fraud, or abnormal processing, the records maintained by SpikeX shall be considered valid and reliable evidence of your use of the Services.
You may view certain Account records through the Platform. However, SpikeX may retain additional internal records for compliance, security, audit, dispute resolution, and risk management purposes.
5.8 Account Restrictions and Suspension
SpikeX may restrict, suspend, freeze, or terminate your Account or part of the Services without prior notice if SpikeX reasonably believes that:
You have violated this Agreement or Platform rules;
Your Account is involved in suspicious, fraudulent, illegal, or high-risk activity;
You have provided false, inaccurate, incomplete, or misleading information;
You have failed to complete required KYC or compliance checks;
Your Account is subject to a regulatory, judicial, law enforcement, or sanctions-related request;
Your Account may pose risks to SpikeX, other users, third-party service providers, or the Platform;
Such action is necessary for risk control, compliance, security, system protection, or user protection.
5.9 Account Cancellation
You may apply to cancel your Account through the procedures provided by the Platform, subject to Platform review and applicable rules.
Before account cancellation, you must ensure that:
All pending orders, transactions, deposits, withdrawals, disputes, and obligations have been completed or resolved;
All outstanding fees, liabilities, or amounts owed to SpikeX have been settled;
No Account assets are frozen, under review, subject to dispute, or restricted by law, regulation, court order, enforcement request, or risk control measure.
After account cancellation, SpikeX may retain certain information and records as required for compliance, legal, audit, anti-money laundering, dispute resolution, tax, security, or regulatory purposes.
5.10 Dormant or Inactive Accounts
If your Account remains inactive for a long period, SpikeX may classify it as dormant or inactive in accordance with Platform rules.
SpikeX may take reasonable measures for dormant or inactive Accounts, including sending notifications, restricting certain functions, requiring re-verification, or applying other measures permitted by Platform rules and applicable laws.
5.11 Account Transfer Prohibited
Your Account is personal to you and may not be sold, transferred, assigned, lent, rented, shared, or otherwise made available to any third party without the prior written consent of SpikeX.
Any unauthorized transfer, sale, rental, sharing, or use of an Account may result in Account restriction, suspension, termination, cancellation of rewards, forfeiture of promotional benefits, or other risk control measures.
5.12 Platform Rights
SpikeX reserves the right to determine, at its sole discretion and in accordance with applicable laws and Platform rules, whether to approve registration, require additional verification, restrict Account functions, suspend Services, reject transactions, freeze assets, terminate Accounts, or take other necessary measures for compliance, risk control, security, and operational purposes.
VI. Service Offerings
The Spikex platform may provide you with the following services:
Digital asset trading services (including spot and futures contracts);
Market data, cryptocurrency information, and announcements;
Customer support services;
Fiat currency purchase or withdrawal services (if available), provided by third-party payment service providers;
Other services as announced by the platform.
VII. Fees and Taxes
All platform service fees will be separately notified via announcements;
You are responsible for all applicable taxes and fees;
If your account balance is insufficient, Spikex reserves the right to deduct other digital assets you hold or suspend services.
VIII. Prohibited Activities
You must not engage in the following activities:
Using the platform for illegal, fraudulent, money laundering, or terrorist financing activities;
Simulating, circumventing, or disrupting platform systems or security mechanisms;
Employing automated programs to retrieve data or execute transactions;
Providing false identity information or trading KYC details;
Granting account access to users in restricted countries or regions;
Other actions deemed violations by the platform.
Violations entitle Spikex to immediately freeze or close accounts while reserving the right to pursue legal remedies.
IX. Restricted Countries/Regions
You may not use this platform's services in the following countries/regions, including but not limited to:
Canada (Alberta), Crimea, Donetsk, Luhansk, Cuba, Hong Kong, Iran, North Korea, Singapore, Sudan, United States (including its territories), Iraq, Libya, Yemen, Afghanistan, Central African Republic, Democratic Republic of the Congo, Guinea-Bissau, Haiti, Lebanon, Somalia, South Sudan, etc.
Spikex reserves the right to update this list based on changes in laws, regulations, or policies. Users are responsible for independently confirming whether they are located in a restricted region.
X. Termination and Restrictions
Spikex may suspend or terminate your account or restrict certain features at any time without prior notice based on the following circumstances:
Providing false information or failing verification;
Engaging in illegal transactions, fraud, or other improper conduct;
Defaulting on payments;
Suspected violations of platform rules or applicable laws and regulations;
Account disputes or judicial investigations.
XI. Intellectual Property
All content on the platform (including but not limited to text, graphics, interfaces, trademarks, data, etc.) is owned by Spikex or its licensors. Users may not reproduce, use, distribute, publish, or utilize such content for commercial purposes without authorization.
XII. Disclaimer
Spikex shall not be liable for:
Transaction failures due to network interruptions, platform maintenance, or system malfunctions;
Any losses caused by user devices, network environments, or third-party actions;
Asset losses resulting from your negligence in safeguarding account information;
Incomplete, inaccurate, or untimely platform information;
Service restrictions arising from legal amendments or regulatory policy adjustments.
XIII. Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
In case of any dispute arising out of or in connection with this Agreement, the Platform, or the Services, both parties shall first attempt to resolve the dispute through friendly consultation.
If the dispute cannot be resolved through consultation, it shall be submitted to the Hong Kong International Arbitration Centre for arbitration in accordance with the HKIAC Administered Arbitration Rules in force at the time of submission.
The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
Nothing in this clause shall exclude the application of any mandatory laws and regulations applicable in the user’s jurisdiction.
XIV. Miscellaneous
The English version of this agreement shall prevail.
If any provision of this Agreement is invalid, it shall not affect the validity of other provisions.
This Agreement may be updated by Spikex from time to time, with updates taking effect immediately upon posting.
