I. General Provisions
- Ensuring compliance, platform security, and the safety of user assets remains SpikeX’s foremost priority. This Risk Disclosure Statement hereinafter referred to as “this Statement” aims to alert users to various risks they may encounter when using the products and services provided by SpikeX collectively referred to as the “Services”. Unless otherwise specified, all terms used in this Statement shall have the same meanings as defined in the SpikeX User Agreement.
- Please understand that this Statement does not exhaustively list all potential risks, nor does it fully reflect the applicability of certain risks to your individual circumstances. Before deciding to use our Services, you are responsible for comprehensively understanding the legal, technical, market, product, trading, and other risks they may involve, and assessing whether they align with your financial situation, trading experience, investment objectives, and risk tolerance.
- SpikeX may provide access to various products and features, including but not limited to digital asset trading, spot trading, futures trading, AI Lab, AI Copy Trading, stocks, commodities, rewards, vouchers, referral activities, and partner-related services. Each product or service may involve specific risks. You should carefully review the terms, descriptions, risk disclosures, agreements, and rules applicable to each service or product before using it.
- By accessing or using the Services, you acknowledge that you have read, understood, and accepted the risks associated with the Services. You further acknowledge that trading involves risk, AI does not guarantee profits, leverage may amplify losses, and past performance does not guarantee future results.
II. Technical Risks
- Although SpikeX continuously optimizes its platform systems and employs industry-standard security measures to protect user assets and information, the inherent nature of the internet means technical systems may still encounter complex cyberattacks, system vulnerabilities, service interruptions, network delays, data errors, data loss, API failures, third-party service interruptions, unexpected system updates, or other technical issues.
- Technical issues may affect account access, order placement, order execution, price display, deposit and withdrawal processing, strategy execution, notifications, reward settlement, or other platform functions. SpikeX does not guarantee that the Services will be uninterrupted, error-free, or immune from all technical risks.
- You must securely safeguard sensitive information, including but not limited to account credentials, passwords, private keys, API keys, device access, and two-factor authentication information. Any actions initiated from your account may be deemed your personal conduct. Given the irreversible nature of certain digital asset transactions, unauthorized transactions or user errors may result in irrecoverable losses, for which you shall bear sole responsibility.
III. Digital Asset and Market Risks
- Digital assets are high-risk instruments characterized by significant volatility. Their prices may be influenced by various factors, including market supply and demand, regulatory policies, macroeconomic conditions, investor sentiment, liquidity, on-chain technological developments, protocol changes, security incidents, hacking incidents, and unexpected news.
- Users should understand and assume risks including but not limited to the following:
- Certain asset prices may experience extreme volatility, surging or plummeting sharply within short timeframes.
- Blockchain protocols may become unstable or cause asset devaluation due to upgrades, forks, attacks, defects, or other failures.
- Delays or congestion in blockchain transactions may result in failed transactions, delayed settlement, or settlement failures.
- Held assets may face liquidity shortages or liquidity exhaustion under extreme market conditions.
- Digital assets may not be recognized as legal tender in all jurisdictions and may lack certain legal protections available to traditional financial assets.
- Market conditions may change rapidly and unexpectedly, which may result in partial or total loss of funds.
- Investing or trading in digital assets carries the risk of partial or total capital loss and may be unsuitable for users with low risk tolerance. We strongly advise users to carefully assess their financial situation, trading experience, investment objectives, and risk capacity before conducting any transaction, and to seek independent professional advice where necessary.
IV. Futures and Leverage Risk
- Futures trading and leveraged trading involve a high level of risk. Leverage may amplify both profits and losses. A small market movement may result in significant losses, liquidation, or the loss of your entire margin.
- You are responsible for understanding how leverage, margin, liquidation, funding fees, order execution, position management, stop-loss orders, take-profit orders, and risk limits work before using futures trading services.
- Under volatile market conditions, stop-loss orders, take-profit orders, trigger orders, or other risk management tools may not always be executed immediately, fully, or at the expected price. Slippage, market gaps, insufficient liquidity, system delays, or order book depth may affect execution results.
- SpikeX does not guarantee that any futures position, leveraged transaction, trading strategy, or risk management tool will prevent losses or achieve a specific result. You should use leverage carefully and only trade with funds you can afford to lose.
V. AI Copy Trading Risk
- AI Copy Trading is a trading assistance feature. It does not guarantee profits, does not prevent losses, and should not be regarded as a risk-free investment tool.
- AI strategies, including strategies based on ChatGPT, Gemini, or other AI models, may perform differently under different market conditions. Historical performance, backtesting results, strategy signals, rankings, past returns, or previous trading outcomes do not guarantee future results.
- When you enable AI Copy Trading, you authorize the platform to execute related trading actions according to the strategy settings you select. You remain responsible for your selected strategy, copy amount, risk settings, account balance, position monitoring, and account management.
- AI Copy Trading may involve risks including but not limited to market volatility, delayed signals, inaccurate assumptions, strategy drawdowns, slippage, execution delays, liquidation risk, system issues, and abnormal market conditions.
- You should carefully review the relevant strategy information, understand the risks, monitor your positions, and adjust or stop AI Copy Trading when necessary. SpikeX does not guarantee that any AI strategy will achieve profits or avoid losses.
VI. Strategy and Performance Risk
- Any trading strategy may experience losses, drawdowns, delayed signals, inaccurate assumptions, reduced performance, or failure under volatile, abnormal, or illiquid market conditions.
- No strategy, model, indicator, algorithm, or AI system can accurately predict all market movements. Strategy performance may be affected by liquidity, slippage, execution delays, market gaps, extreme volatility, user-selected parameters, system conditions, and third-party service conditions.
- Users should not rely solely on historical performance, ranking information, yield display, strategy descriptions, or promotional materials when making trading decisions. Past performance does not guarantee future results.
VII. Counterparty Risk
- When using SpikeX platform services, users may encounter risks relating to counterparties, liquidity providers, borrowers, service providers, payment service providers, custodians, market makers, or other third parties. Such risks may include counterparty default, liquidation interruption, loan delinquency, service suspension, delayed settlement, or liquidity provider failure.
- In the event of default, interruption, failure, or abnormal performance by liquidity providers, borrowers, counterparties, or service providers, users may be unable to complete transactions, redeem assets, withdraw assets, or execute orders promptly, which may result in losses.
VIII. No Personalized Advice
- SpikeX does not provide personalized investment advice, financial planning, tax advice, legal advice, or trading recommendations. Data, analytical charts, educational materials, market information, AI signals, strategy descriptions, tutorials, rankings, or other content displayed on the platform are for general information and platform use only.
- Such information does not constitute any investment advice, financial advice, legal advice, tax advice, or recommendation to buy, sell, hold, copy, or trade any asset.
- Users must independently determine whether any transaction, product, service, strategy, or investment decision aligns with their objectives, financial situation, trading experience, and risk tolerance. SpikeX assumes no responsibility or obligation for outcomes resulting from users’ service usage.
- SpikeX does not act as a trustee, fiduciary, agent, financial advisor, or investment manager for users, and does not monitor whether your transactions are consistent with your financial arrangements or investment objectives.
IX. Legal and Regulatory Risks
- The legal status of digital assets and related services varies across countries and regions. In certain jurisdictions, digital assets or related products may be deemed illegal, restricted, non-transferable, or subject to stringent regulatory requirements.
- Policy, legal, or regulatory changes may impact platform operations or user accounts, including but not limited to asset restrictions, identity verification requirements, transaction suspension, product adjustment, service termination, or account limitations. SpikeX cannot foresee or control all such events.
- Certain products or services may not be available in all regions or to all users. Users are responsible for understanding and complying with the laws, regulations, restrictions, and tax obligations applicable to them.
- SpikeX shall not be liable for any losses arising from compliance actions, including but not limited to service suspension, service termination, asset restrictions, account limitations, identity verification requirements, or other actions required by applicable laws, regulations, court orders, government agencies, regulatory authorities, platform rules, or risk control requirements.
X. Tax Liability and Compliance Obligations
- Users shall understand their tax filing, reporting, and payment obligations in their respective countries or regions. SpikeX does not provide tax advice and shall not be liable for any consequences arising from users’ tax non-compliance.
- If relevant authorities require SpikeX to withhold taxes, report information, restrict account operations, or take other compliance actions due to a user’s failure to comply with applicable tax obligations or failure to cooperate with required tax filings, SpikeX reserves the right to comply with such requirements without prior notice where permitted by applicable laws and regulations.
XI. Liquidity and Execution Risk
- Under certain digital asset conditions or market circumstances, disorderly trading, extreme price spreads, insufficient liquidity, unmatched orders, market gaps, or rapid price movements may occur, potentially preventing users from executing desired buy or sell transactions.
- Orders may not always be executed immediately, fully, or at the expected price. During extreme market conditions, users may be unable to execute stop-loss orders, close positions, or exit strategies as expected, which may amplify losses.
- Liquidity and execution risks may also affect AI Copy Trading, futures trading, spot trading, and other platform services.
XII. Third-Party Risks
- Certain platform functions may involve third-party services, including but not limited to payment gateways, liquidity providers, custodians, blockchain networks, data providers, cloud service providers, analytics providers, customer support tools, advertising or attribution platforms, and security service providers.
- SpikeX makes no guarantee regarding the stability, security, accuracy, availability, legality, or compliance of such third-party services and assumes no liability for any losses arising from third-party service failures, errors, interruptions, delays, security incidents, or other issues.
XIII. Communication and Information Risks
- During electronic communications with the platform, including but not limited to email, online customer service, live chat, notifications, platform messages, and social media communication, technical failures, delays, phishing attempts, impersonation, man-in-the-middle attacks, or unauthorized access may cause message transmission failures, tampering, leakage, or misunderstanding.
- Users should implement appropriate measures to secure their devices, browsers, networks, email accounts, and communication channels. Users should verify official SpikeX channels and avoid clicking unknown links, downloading suspicious files, or sharing sensitive account information.
XIV. Currency and Exchange Rate Risks
- When exchanging digital assets for fiat currency, other cryptocurrencies, stablecoins, or other assets, fluctuations in exchange rates between different currencies or assets may directly impact users’ profits, losses, costs, and account value.
- SpikeX assumes no responsibility for any exchange rate changes, conversion losses, price fluctuations, or valuation differences resulting from market movements or third-party pricing sources.
XV. Service Availability and Restrictions
- While SpikeX strives to ensure continuous service availability, certain services may be temporarily inaccessible, delayed, suspended, modified, or terminated due to system maintenance, network outages, technical failures, force majeure events, third-party service failures, security events, market abnormalities, legal requirements, regulatory requirements, or platform risk control requirements.
- Certain products, features, rewards, campaigns, or services may be restricted or unavailable in specific countries, regions, or to certain users. Users are responsible for independently verifying the availability, applicability, and legality of the Services within their jurisdiction.
XVI. Security Risks
- Digital assets and online trading platforms face cybersecurity threats, including but not limited to hacking, malware, phishing websites, fraudulent applications, social engineering, SIM swap attacks, system backdoors, unauthorized account access, fake customer service, and fraudulent activities.
- Although SpikeX implements multiple security measures, it cannot guarantee complete immunity from all security threats. Users should enable all available security mechanisms, including two-factor authentication, authorized device management, anti-phishing codes where available, withdrawal address management, and other account protection features.
- SpikeX shall not be liable for any asset losses resulting from user error, information leakage, weak passwords, unauthorized device access, phishing, use of unofficial links, use of unofficial applications, or failure to follow security recommendations.
XVII. Rewards and Campaign Risk
- Any rewards, bonuses, vouchers, trial funds, CPA rewards, referral rewards, rebates, commissions, partner rewards, or promotional benefits are subject to applicable campaign rules, eligibility requirements, system verification, and risk control review.
- Rewards may be adjusted, withheld, cancelled, frozen, recovered, or refused in cases of abnormal activity, fraud, abuse, malicious registration, self-referral, duplicate accounts, bonus manipulation, violation of platform rules, violation of campaign rules, or failure to meet campaign requirements.
- Participation in any reward campaign does not reduce trading risk. Receiving rewards, vouchers, rebates, or commissions does not guarantee trading profits or prevent trading losses.
- SpikeX reserves the right to interpret, adjust, suspend, or terminate campaigns in accordance with applicable campaign rules, platform terms, risk control requirements, and applicable laws and regulations.
XVIII. User Responsibility
- You are responsible for understanding the risks of the products and services you use, including but not limited to digital asset trading, spot trading, futures trading, AI Copy Trading, rewards, campaigns, deposits, withdrawals, and other platform features.
- You are responsible for managing your account, password, device, security settings, trading amounts, risk parameters, account balance, positions, orders, and personal information.
- You should only use the Services after fully understanding the relevant risks and should only trade with funds you can afford to lose.
- If you do not understand the risks of a product or service, you should stop using such product or service and seek independent professional advice where appropriate.
XIX. Updates to This Statement
- The risks outlined in this Statement may evolve due to industry developments, market changes, policy changes, legal developments, regulatory requirements, product updates, or technological advancements.
- SpikeX may update this Statement from time to time. When this Statement is updated, the “Last Updated” date at the top of this page will be revised. Users should regularly review this Statement, platform announcements, product rules, and applicable agreements.
XX. Final Statement
- Before making any trading or investment decision, users should carefully assess risks in conjunction with this Statement, the SpikeX User Agreement, applicable product terms, platform rules, announcements, and their personal circumstances.
- By using the Services, you acknowledge that you have read, understood, and accepted all risks and liabilities described herein. SpikeX shall not be liable for any direct or indirect losses resulting from user negligence, misunderstanding of this Statement, misuse of the Services, trading decisions, market fluctuations, technical issues, legal or regulatory changes, third-party service failures, or other risks described in this Statement.
- Final reminder: trading involves risk. AI does not guarantee profits. Leverage may amplify losses. Past performance does not guarantee future results. You should only use SpikeX Services after fully understanding the risks involved.
