API Key Usage Terms

These API Key Terms of Use (hereinafter referred to as “Terms”) apply to all actions related to creating, using, and maintaining API Keys on the Spikex platform. Please carefully read and fully understand all provisions of these Terms before using any API Key.

By using an API Key, or by confirming acceptance of these Terms through actions such as clicking “Agree,” you acknowledge that you have read and accepted all provisions herein and agree to be bound by them.

In the event of any conflict between these Terms and other Spikex service terms, these Terms shall prevail unless otherwise explicitly stipulated.

I. Definitions

API Key:

A key generated by the Spikex platform to identify user identity and authorize access to account interfaces, including public keys, private keys, or digital signatures. You may use it for automated trading, data access, and other operations.

Spikex Technology:

A collective term encompassing, but not limited to, interface documentation, system code, data protocols, algorithmic logic, service architecture, design interfaces, and other related software and proprietary information associated with the API Key.

Intellectual Property:

All patent rights, copyrights, trademark rights, trade secrets, database rights, and other forms of intellectual property or rights related to the Spikex API Key and associated technical materials.

Sanctioning and Regulatory Authorities:

Includes authoritative sanctioning or regulatory bodies such as the United Nations, the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, any EU member state, and others.

II. Usage Rights

Under these terms, Spikex grants you a limited, non-transferable, revocable personal license to integrate the API Key into your systems for lawful access to the Spikex platform.

You may not:

·         Reverse engineer, disassemble, or attempt to decompile the API Key;

·         Modify, copy, distribute, or create derivative works without authorization;

·         Use the API Key to unlawfully access Spikex user data or services;

·         Employ the API Key for illegal activities including money laundering, market manipulation, asset theft, or unauthorized arbitrage;

·         Sell, lease, or sublicense the API Key to any third party in any form;

·         Challenge Spikex's intellectual property rights over the API technology;

·         Violate any applicable laws, regulations, or regulatory requirements.

Spikex reserves the right to suspend or revoke your API Key for security or compliance reasons without prior notice.

III. Risk and Security

You acknowledge and accept that:

·         The API Key is sensitive authentication information carrying high risk;

·         You shall independently bear all consequences arising from the API Key, including but not limited to financial loss, data breaches, or account theft;

·         Spikex shall not be held legally liable for any misuse or abuse of the API Key;

·         You must implement the following measures to safeguard your API Key:

·         Do not expose the Key in public code repositories;

·         Enable IP whitelisting restrictions;

·         Regularly delete unused Keys;

·         Enforce the principle of least privilege;

·         Do not share the Key with unauthorized third parties;

·         If the Key is at risk of exposure, immediately delete and regenerate it.

IV. Operational Authorization

Any transaction, request, or instruction initiated via your API Key shall be deemed your personal action and carry equivalent legal validity. Spikex reserves the right to execute relevant operations based on your API Key activity logs, including data interactions and permission verifications.

You agree that Spikex may process your personal and transaction data based on your operational and system call records to fulfill legal, compliance, and platform operational requirements.

V. Deactivation and Termination

Spikex reserves the right to disable, restrict, or terminate API Key privileges at any time without prior notice. You may also proactively deactivate any API Key through the platform interface.

Upon deactivation of an API Key, all associated access privileges will be immediately terminated.

VI. Disclaimer

To the maximum extent permitted by law, Spikex shall not be liable for:

·         Direct or indirect losses arising from the use of API Keys;

·         Trading losses caused by operational interruptions, data errors, or interface instability;

·         Any consequences resulting from your or a third party's failure to follow the security guidelines in these Terms.

You acknowledge that the provision of API Key services does not constitute any warranty or representation for any specific purpose.

VII. Indemnification

Should you or your affiliates breach these Terms, or engage in any illegal, non-compliant, or infringing activities via the API Key, thereby causing Spikex, its affiliates, or employees to incur claims, fines, litigation, or reputational damage, you shall bear full indemnification liability and be responsible for resolving related disputes.

Spikex reserves the right to seek reimbursement from you for all related expenses, including reasonable costs such as attorneys' fees, investigation fees, and audit fees.

VIII. Termination

Spikex may terminate these Terms and the authorized limits at any time at its sole discretion. Upon termination, you must immediately cease using the API Key and remove all related interface call programs.

Spikex shall not be liable for any termination of these Terms by either party.

IX. Operational Availability

Spikex does not guarantee uninterrupted API Key service availability, nor does it guarantee its accuracy, completeness, or timeliness. Users assume all risks associated with using the API Key system.

The platform may experience temporary interface unavailability due to maintenance, upgrades, hacking attacks, or third-party failures. Ensure robust system fault tolerance mechanisms are in place.

X. Compliance Obligations

You agree to use the API Key lawfully and not violate any national or regional laws and regulations, including but not limited to provisions concerning anti-money laundering, counter-terrorist financing, data protection, and financial regulation.

Spikex reserves the right to request your cooperation in providing authentic identity verification, operational records, compliance documentation, and other relevant information. Failure to cooperate may result in Spikex suspending services or revoking the API Key.

Users from sanctioned countries or regions, including but not limited to Iran, North Korea, Syria, and Sudan, are prohibited from accessing or using Spikex API Keys.

XI. Terms Modification

Spikex reserves the right to update these terms at any time and publish updates on its official website. You should review them periodically. Continued use of the API Key after updates constitutes your agreement to and acceptance of all revisions.

XII. Entire Agreement

These Terms constitute the entire agreement between you and Spikex regarding the use of the API Key. Unless otherwise agreed in writing by both parties, these Terms supersede any prior oral or written agreements regarding the same subject matter.

Spikex reserves the final right of interpretation of these Terms.
